LICENSE AND TECHNICAL ASSISTANCE AGREEMENT
This AGREEMENT made and entered into this _____________________ by and between ABC CO, LTD. duly organized and existing under the Laws of Japan , with its principal place of business at _________________________, Japan(hereinafter referred to as ABC) and XYZ CO., LTD. duly organized and existing under the Laws of the Republic of Korea, with its principal place of business at _______________________, Korea(hereinafter referred to as XYZ
WITNESSETH THAT,
Whereas, ABC has long been engaged in the manufacture and sale'of the LICENSED PRODUCTS(as hereinafter defined) with a substantial amount of know-how, information and patents embodied in the design and the manufacture thereof and
Whereas, XYZ desires to manufacture and sell the LICENSED PRODUCTS and obtain the technical, manufacturing and other information and services on the LICENSED PRODUCTS.
Whereas, ABC is willing to license XYZ the right to manufacture and sell the LICENSED PRODUCTS and to furnish to XYZ services therefor Now, therefore, in consideration of the promises and of the mutual covenants and agreements herein contained, the parties hereto agree as follows;
Article Ⅰ. Definitions
As used in this AGREEMENT, the following terms shall have the following meanings unless the context clearly indicates otherwise:
1-1 The terms LICENSED PRODUCTS shall mean the 특정제품 as described hereunder and/or as agreed upon form time to time by both parties hereto with particular specifications designed, commercially manufactured and sold by ABC as of the execution date hereof.
In spite of model names of LICENSED PRODUCTS,XYZ may sell the LICENSED PRODUCTS with localized model name.
1-2 The term TECHNICAL INFORMATION shall mean the proprietary drawings for manufacture and assembly, drawings for component parts, inspection standards and material lists necessary for XYZ to manufacture the LICENSED PRODUCTS, which exist in the files of ABC as of the execution date hereof excluding vender parts and components parts not designed by ABC. At XYZ's request, ABC shall provide XYZ with complete TECHNICAL INFORMATION.
TECHNICAL INFORMATION shall further include;
1. Assembling Manuals.
2. manufacturing Specifications. Specifications on heat treatment, surface treatment, machining and press operation
